Terms of Service

1. Acceptance of Terms

By accessing or using AIOpsNav ("Service"), you agree to be bound by these Terms of Service ("Terms"). If you're using the Service on behalf of a company, you represent that you have authority to bind that company to these Terms.

If you do not agree to these Terms, do not use the Service.

2. Service Description

AIOpsNav provides AI readiness assessment tools, scored diagnostics, industry benchmarks, and implementation guidance for businesses with 15 to 500 employees. The Service uses AI-powered scoring to help organizations understand and improve their AI adoption posture.

We reserve the right to modify, suspend, or discontinue any part of the Service at any time with reasonable notice.

3. Accounts and Eligibility

• You must be at least 18 years old and have authority to enter contracts.
• You are responsible for maintaining the confidentiality of your account credentials.
• You are responsible for all activity under your account.
• Notify us immediately of any unauthorized access at support@aiopsnav.com.

4. Subscription and Billing

Plans and pricing

Billing terms

• Subscriptions are billed in advance on a monthly or annual basis.
• Subscriptions auto-renew unless cancelled before the renewal date.
• Price changes will be communicated at least 30 days in advance.
• All fees are in USD and exclusive of applicable taxes.

Refund policy

• Annual plans: Full refund if requested within 30 days of initial purchase or annual renewal. No refunds after 30 days.
• Monthly plans: No refunds for partial months. Cancel anytime to stop future charges.
• Refund requests: billing@aiopsnav.com.

Cancellation

Cancel anytime from your account settings. Upon cancellation, your access continues through the end of your current billing period. We do not charge cancellation fees.

5. AI Accuracy Disclaimer

• Assessment scores reflect inputs you provide and should be validated against your actual operational reality.
• Recommendations are starting points, not prescriptions. Always evaluate AI guidance in context.
• We do not guarantee that following any AI recommendation will produce specific business outcomes.
• AI models have knowledge cutoff dates and may not reflect the latest tools, regulations, or best practices.

6. Acceptable Use

You may not use the Service to:

• Violate any applicable law or regulation
• Reverse engineer, decompile, or attempt to extract source code from the Service
• Resell, sublicense, or commercially redistribute the Service without written permission
• Submit false, misleading, or fraudulent information
• Attempt to gain unauthorized access to our systems or other users' accounts
• Use automated tools to scrape, harvest, or bulk-download data from the Service
• Interfere with or disrupt the integrity or performance of the Service
• Use the Service to generate harmful, discriminatory, or illegal content

We reserve the right to suspend or terminate accounts that violate these rules without prior notice.

7. Intellectual Property

Our IP

The Service, including its code, design, algorithms, content, and benchmarks, is owned by AIOpsNav and protected by copyright, trademark, and other intellectual property laws. You receive a limited, non-exclusive, non-transferable license to use the Service for your internal business purposes.

Your data

You retain ownership of all data you submit to the Service. You grant us a limited license to process your data to deliver the Service and (with your consent) to include anonymized data in aggregate benchmarks. See our Privacy Policy.

Your outputs

Assessment reports generated for you are yours to use. You may share, print, and incorporate them into your internal documents.

8. Disclaimer of Warranties

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT.

We do not warrant that the Service will be uninterrupted, error-free, or free from viruses. We do not warrant the accuracy, completeness, or reliability of any AI-generated content.

9. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW:

• IN NO EVENT SHALL AIOPSNAV BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOST PROFITS, DATA LOSS, OR BUSINESS INTERRUPTION.
• OUR TOTAL AGGREGATE LIABILITY TO YOU FOR ALL CLAIMS ARISING FROM OR RELATED TO THE SERVICE SHALL NOT EXCEED THE GREATER OF (A) THE TOTAL FEES YOU PAID TO US IN THE 12 MONTHS PRECEDING THE CLAIM, OR (B) $100.

Some jurisdictions do not allow the exclusion of certain warranties or limitations of liability, so these limitations may not apply to you.

10. Indemnification

You agree to indemnify, defend, and hold harmless AIOpsNav, its officers, directors, employees, and agents from any claims, damages, or expenses (including reasonable attorney fees) arising from your use of the Service, your violation of these Terms, or your violation of any third-party rights.

11. Governing Law and Disputes

These Terms are governed by the laws of the State of Delaware, without regard to conflict of law principles.

Before filing a formal dispute, you agree to contact us at legal@aiopsnav.com and attempt to resolve the issue informally for at least 30 days.

Any legal action arising from these Terms must be brought in the state or federal courts located in Delaware, and you consent to personal jurisdiction there. The UN Convention on Contracts for the International Sale of Goods does not apply.

12. Changes to Terms

We may update these Terms from time to time. Material changes will be communicated by email or prominent notice on the Service at least 14 days before taking effect. Continued use after the effective date constitutes acceptance of the revised Terms.
